Pursuant to Order No. 450-r of the Cabinet of Ministers of Ukraine dated 13 May 2026, the Cabinet of Ministers of Ukraine has announced a competitive selection of candidates for four positions of Independent Members of the Supervisory Board of Private Joint Stock Company "Ukrhydroenergo" (EDRPOU Code 20588716).

The selection will be conducted in accordance with the Procedure for conducting the competitive selection of candidates for the position of independent member of the Supervisory Board of a state unitary enterprise and their appointment, as well as for conducting the competitive selection of candidates for the position of independent member of the Supervisory Board of a business entity in which more than 50 per cent of the shares (participatory interests) are owned by the State and which are proposed by the State Property Management Entity for election as independent members of the Supervisory Board, approved by Resolution No. 142 of the Cabinet of Ministers of Ukraine dated 10 March 2017.

1. General information about the Company

PJSC “Ukrhydroenergo” is the largest hydropower generating company in Ukraine and the principal operator of the country’s major hydroelectric power plants (HPPs) and pumped storage power plants (PSPPs). The Company has been operating since 1995. One hundred per cent of the Company’s shares are owned by the State. The Cabinet of Ministers of Ukraine (the Entity Authorised to Manage State-Owned Assets) exercises the State’s corporate rights. The Company’s share capital amounts to UAH 1,118,552,950.

PJSC “Ukrhydroenergo” plays a key role in the Unified Energy System (UES) of Ukraine. The Company’s HPPs and PSPPs are the most flexible generating facilities, providing peak load coverage, frequency and power regulation, operating and emergency reserves, and supporting the stable and reliable operation of the power system.

The Company comprises the hydroelectric power plants of the Dnipro Cascade (Kyiv HPP, Kaniv HPP, Kremenchuk HPP, Middle Dnipro (Kamianske) HPP, Dnipro HPP-1 and Dnipro HPP-2), Kyiv PSPP, as well as Dniester HPP and Dniester PSPP on the Dniester River. The total number of hydroelectric generating units exceeds 100.

Kakhovka HPP was completely destroyed by Russian forces on 6 June 2023.

The Company’s principal areas of activity include electricity generation at HPPs and PSPPs; the provision of ancillary services to ensure the stability of the UES of Ukraine; the construction, reconstruction and modernisation of hydropower facilities; and the development of renewable energy and implementation of post-war recovery projects.

The Company’s highest governing body is the General Meeting, whose powers are exercised by the Cabinet of Ministers of Ukraine. Strategic management and oversight are provided by the Supervisory Board, while the General Director is responsible for the management of the Company’s day-to-day operations.

2. Expected role and functions

The powers of the Supervisory Board of PJSC "Ukrhydroenergo" are determined by Part Two of Article 71 of the Law of Ukraine "On Joint-Stock Companies", Part One of Article 11-4 of the Law of Ukraine "On the Management of State-Owned Assets", the State Ownership Policy, the Company's Charter, and the Regulations on the Supervisory Board.

Key expected functions of a Supervisory Board member:

• participation in determining the Company's priority areas of activity, developing, approving and monitoring the implementation of the strategic development plan;
• oversight of the activities of the Company’s executive body, monitoring the achievement of strategic, financial, operational and non-financial objectives, and holding the executive body accountable for performance and compliance;
• participation in approving and monitoring the implementation of the annual financial plan, the annual investment plan and the medium-term investment plan;
• participation in decision-making regarding the appointment and termination of the powers of the Company's executive body, in accordance with the competence of the Supervisory Board;

3. Supervisory Board profile

The Supervisory Board of PJSC “Ukrhydroenergo” is a collegial body that manages the Company within the scope of its competence and oversees and regulates the activities of the Company’s executive body. The activities of the Supervisory Board of PJSC “Ukrhydroenergo” are governed by the legislation of Ukraine, the Charter of PJSC “Ukrhydroenergo”, the Regulations on the Supervisory Board of PJSC “Ukrhydroenergo”, the Rules of Procedure of the Supervisory Board of PJSC “Ukrhydroenergo”, and other applicable documents.

In accordance with the applicable legislation of Ukraine, the Supervisory Board of PJSC “Ukrhydroenergo” comprises four (4) independent members and three (3) representatives of the State. Collectively, the independent members of the Supervisory Board should cover the following competency profiles:

Supervisory Board competencies

Each independent member of the Supervisory Board of PJSC “Ukrhydroenergo” should possess professional experience, competencies and practical skills that complement the expertise of the other members of the Supervisory Board. Diversity of professional backgrounds, sector knowledge, international experience and approaches to decision-making should enable the Supervisory Board to provide effective oversight of a strategic state-owned enterprise that manages critical energy infrastructure under conditions of war and security risks. Given the strategic role of PJSC “Ukrhydroenergo”, the Supervisory Board collectively should ensure an appropriate level of expertise in energy security and critical infrastructure resilience, the integration of Ukraine’s energy sector with EU energy markets, as well as the energy transition, including the role of HPPs and PSPPs in providing flexibility, balancing and the integration of renewable energy sources. Collectively, the members of the Supervisory Board of PJSC “Ukrhydroenergo” being selected should cover the full range of competencies set out below to ensure the effective and balanced functioning of the Supervisory Board:

• strategic and operational management of large companies, including business transformation, management of complex assets, business continuity, and organisational resilience in times of crisis and material security risks;
• corporate finance, financial reporting, audit and investment, including financial strategy, liquidity and debt management, financing, and oversight of major investment programmes;

• oversight of the procurement system and the performance of major contracts, particularly within investment, modernisation and recovery programmes, including oversight of transparency, competition and integrity, and management of the related risks;
• ESG, sustainability and international engagement, including the environmental and social aspects of major infrastructure projects, cooperation with international financial institutions, development of strategic partnerships, and the application of international corporate governance practices.

4. Candidate requirements

Each candidate must possess a high level of professional qualifications, meet the requirements set out below and demonstrate the competencies specified above.

Mandatory qualification requirements:

A member of the Supervisory Board of an enterprise or company must meet the qualification requirements regarding education, language proficiency and professional experience.

1. Higher education in at least one of the following fields:

• management and administration;
• economics;
• finance;
• audit;
• international relations;
• law;
• management or business administration;
• another field relevant to the Company’s activities, including energy, engineering and electrical engineering.

2. Fluency in Ukrainian and/or English.
3. At least 15 years of professional experience in at least one of the fields specified in paragraph 1 of these qualification requirements.
4. At least 7 years of experience in senior management positions, or at least 7 years of civil service or equivalent experience in positions involving managerial or strategic functions. The candidate must have substantiated experience at the level of chief executive, member of an executive body, or head of a key functional or business area, with direct responsibility for strategic decision-making. Preference will be given to experience in organisations comparable to PJSC “Ukrhydroenergo” in terms of asset scale, complexity of operations, size of the investment programme, regulatory burden or strategic importance.

6. Professional knowledge, skills, work experience and other characteristics required for the proper discharge of the duties of a Supervisory Board member, taking into account the principal areas of activity of PJSC “Ukrhydroenergo”, as well as the functional responsibilities and scope of responsibility of the Supervisory Board member.
7. Integrity, impartiality, and an impeccable business reputation.
8. Must not hold an elected office or serve as an official of any state authority and/or local self-government body.
9. No unspent criminal convictions.
10. Must not be subject to special economic or other restrictive measures (sanctions) imposed in accordance with the Law of Ukraine “On Sanctions”.
11. Must not be a citizen of a state recognised by the Verkhovna Rada of Ukraine as an aggressor state.
12. Must not serve simultaneously on the supervisory boards or boards of directors of more than five legal entities.
13. No conflict of interest that could interfere with the proper discharge of the duties of a Supervisory Board member.
14. Ability to devote at least 48 working days per year to the work of the Supervisory Board including travel to Ukraine.

Independence requirements and restrictions:

A candidate for the position of an independent member of the Company's Supervisory Board is an individual who meets the requirements applicable to independent members of the Supervisory Board as defined by:

• Part One of Article 11-3 of the Law of Ukraine "On the Management of State-Owned Assets";
• Part One of Article 73 of the Law of Ukraine "On Joint-Stock Companies".

In particular, the candidate must not:

1. Have served as an officer of the Company during the previous five years, or of its subsidiary, branch, representative office, or other separate subdivision, except where such service was in the capacity of an independent member of the Supervisory Board.
2. Have been employed by the Company during the previous three years, or by its subsidiary, branch, representative office, or other separate subdivision.
3. Be an affiliated person of the Company, its shareholders (participants), subsidiaries, branches, representative offices, other separate subdivisions, or their officers.
4. Have received any income from the Company during the previous three years, or from its subsidiary, branch, representative office, or other separate subdivision, other than remuneration received for performing the duties of a Supervisory Board member.
5. Directly or indirectly own 5 per cent or more of the Company's share capital (individually or together with affiliated persons), or represent the interests of such an owner.
6. Be a civil servant or a representative of the State.
7. Have served as the independent auditor of the Company during the previous three years, or of its subsidiary, branch, representative office, or other separate subdivision.
8. Have participated during the previous three years in the audit of the Company, its subsidiary, branch, representative office, or other separate subdivision as an auditor of an audit firm.
9. Have had a material business relationship with the Company during the previous year, or with its subsidiary, branch, representative office, or other separate subdivision, either directly as a sole proprietor or as a shareholder (participant), chief executive, or member of the executive body of a business entity that has or has had such a relationship.
10. Have served as a member of the Company's Supervisory Board for an aggregate period exceeding twelve years.
11. Be a close person of any of the persons referred to in paragraphs 1–10 of this section.

• At least 5 years of professional or managerial experience in the energy sector or an adjacent industry, particularly in electricity generation, management of large-scale generation or infrastructure assets, their operation, modernization or development, will be considered an advantage.

The role requires the ability to evaluate decisions related to the operation, modernization and development of hydropower plants (HPPs) and pumped storage power plants (PSPPs), taking into account their contribution to power system reliability and flexibility, the integration of renewable energy sources, the development of electricity markets, and the implementation of modern technological and digital solutions.

Professional experience

The candidate should have:

• Deep understanding of the structure and functioning of the electricity market, including the wholesale market, balancing market, ancillary services market and price formation mechanisms.
• Understanding of the role of different types of generation, energy storage systems and cross-border electricity flows in ensuring power system balance, reliability and flexibility.
• Understanding of the integration of Ukraine’s energy sector with EU energy markets.

5. Terms and remuneration

Independent members of the Supervisory Board of PJSC “Ukrhydroenergo” will receive remuneration in the amount and in accordance with the procedure prescribed by the legislation of Ukraine.

Expected time commitment: at least 48 working days per year to be devoted to the work of the Supervisory Board.

The terms of the civil law agreement to be concluded with a member of the Supervisory Board shall be approved by the General Meeting.

9. Publication of the results of the competitive selection

The results of the competitive selection shall be published on the official website of the Entity Authorised to Manage State-Owned Assets within two working days from the day following the appointment/election of an independent member of the Supervisory Board, in accordance with the Procedure for the Competitive Selection of Candidates for the Position of Independent Member of the Supervisory Board of a State Unitary Enterprise and Their Appointment, as well as for the Competitive Selection of Candidates for the Position of Independent Member of the Supervisory Board of a Business Company in Which More Than 50 Per Cent of the Shares (Participatory Interests) in the Share Capital Are Owned by the State, Proposed by the Entity Authorised to Manage State-Owned Assets for Election as Independent Members of the Supervisory Board, approved by Resolution of the Cabinet of Ministers of Ukraine No. 142 dated 10 March 2017.
