A competitive selection of candidates for the positions of members of the Supervisory Board of Ukrenergo National Power Company PrJSC representing the state is announced in accordance with paragraphs 8 and 9 of the Procedure of selecting and approving candidates for state representatives appointed to the supervisory boards of unitary state enterprises and representatives attending general meetings and elected to the supervisory boards of business companies in whose authorized capital the state holds more than 50 percent of stock (stake), approved by the Resolution 143 of the Cabinet of Ministers of Ukraine of 10 March 2017 on certain aspects of management of state-owned assets (as amended by the Resolution 927 of the Cabinet of Ministers of Ukraine of 15.11.2019), and in accordance with the Order 504 of the Ministry of Finance of Ukraine of 29 November 2019.

Ukrenergo NPC was established pursuant to the Order 54 of the Ministry of Energy of Ukraine of 15 April 1998 on the basis of the state enterprise National Electricity Generation Dispatch Center of Ukraine, with acquisition of the reorganized state enterprise Ukrelektroperedacha State Electric Company, as a power company responsible for operational and technological control of the Integrated Power System of Ukraine (IPS) and for electricity transmission via trunk power grids from power generating plants to regional power grids of electricity supply (oblenergo) companies. Ukrenergo NPC transmits electricity to four European Union member states, and controls cross-border electricity flows between Ukraine’s IPS and power systems of three CIS states.

The Company’s network includes eight regional power systems covering the entire territory of Ukraine, and it employs almost 10 thousand persons. Also, the Company operates high-tech equipment of 137 220-750 kV substations with the aggregate installed capacity of over 78 thousand MVA, and over 21 thousand kilometers of 220-750 kV trunk and cross-border power transmission lines. Every year, Ukrenergo NPC’s trunk power grids transmit over 110 billion kWh of electricity.

Ukrenergo NPC will operate as a regulated state enterprise. Ukrenergo NPC shall prepare power generating network development plans, and submit these plans and tariffing proposals (developed on the basis of the cost-plus or the stimulation method) for approval by NEURC in accordance with the EU’s energy directives. Ukrenergo NPC operates in accordance with legal and regulatory requirements and energy regulations of the European Union and recommendations of the Organization for Economic Cooperation and Development concerning corporate governance at state enterprises.

Main areas of Ukrenergo NPC’s activity include operation in the capacity of the transmission system operator and control and operation of trunk power grids, in particular:

- centralized dispatch (operational and technological) control of Ukraine’s IPS, and organizing information exchange with the market operator, market participants, transmission system operators of neighboring countries, ENTSO-E and the Energy Community in the amount and according to the procedure regulated by the market rules, the transmission system code, the commercial metering code and other regulatory acts;

- planning operating regimes of Ukraine’s IPS in accordance with the market rules and the transmission system code;

- improving and developing the Ukrainian electricity market, balancing market and ancillary services market;

- efficient operational and technological maintenance and repair of trunk and cross-border power grids, reducing the spending of material resources and electricity losses in power grids, facilitating operation of the ancillary services market, and purchasing ancillary services to ensure observance of operational safety standards in Ukraine’s Integrated Power System;

- participating in operational monitoring of fuel (coal, natural gas, mazut) flows at thermal power plants of electricity generating companies and in the work on improving the model of forecasted balances of electricity, fuel and expenses of generating companies’ TPPs as market transformations take place;

- participating in development of forecasted balances of electricity, fuel and expenses of generating companies’ TPPs (annual, quarterly and monthly), preparation for approval, monitoring of implementation, and preparation of conclusions and proposals concerning their optimization;

- forming and carrying out a uniform technical policy on development and implementation of a telecommunications network, data transmission channels, automated relay protection and emergency response systems, automated dispatch and technological control systems, electricity metering and quality control systems;

- facilitating synchronized operation of Ukraine’s IPS with power systems of other countries and integration of Ukraine’s IPS into ENTSO-E.

Requirements to candidates, expected responsibilities of a member of Ukrenergo NPC Supervisory Board, scope of supervisory board members required competence

According to the Ukrenergo NPC Supervisory Board staffing principles, candidates for representatives of the state must meet the following requirements:

- having higher education, in particular (but not exclusively), in the following fields: finance, mathematical sciences, engineering sciences, accounting and audit, management, business administration, law;

- having at least 3 (three) years of work experience in managerial positions at companies or in senior civil service positions, in particular (but not exclusively), in the following fields: electricity transmission or generation, regulation of energy markets, finance, engineering, accounting and audit, management, business administration, or law;

- having experience in conflict management and in negotiation;

- possessing leadership qualities and change management qualities;

- having impeccable business reputation;

- fulfilling independence requirements of Ukrainian and European Union laws;

- being fluent in at least one of the following languages: Ukrainian or English;

- undertaking the commitment to devote at least 30 working days a year to perform duties of a supervisory board member;

- showing basic understanding of legislative acts regulating the sector where Ukrenergo NPC operates; knowledge of Ukraine’s energy sector and conditions of the company’s business environment; knowledge of the electricity market, development prospects and trends of the energy sector;

- showing understanding of legislative acts regulating energy markets of European Union member states (including unbundling requirements), understanding of how the international electricity market operates and of global trends;

- not being, presently and during the past five years, a founder, shareholder (member), senior manager, member of the supervisory board, employee or representative of, and not having significant business relationships with, a person subjected to personal, special economic or other sanctions by the Government of Ukraine.

Additional advantages:

- work experience on supervisory boards (boards of directors) or in top managerial positions at large companies (in particular, as CEO, division director, chairman/member of board);

- work experience at international companies and in international markets;

- experience in bringing investors and financial institutions, restructuring international financial obligations for the purpose of implementing investment programs and company development programs (loans, bonds, IPO, etc.);

- experience in management of transformation processes and complex projects of organizational changes.

A candidate is required by Ukrainian law to fulfill the following criteria:

A person who is a founder, shareholder (member), senior manager and/or member of the supervisory board of a company or another business organization operating in the same or related markets as Ukrenergo NPC cannot be a member of Ukrenergo NPC Supervisory Board.
