Announcement on competitive selection of the independent members of the Supervisory Board of State Enterprise "Ukrkhimtransamiak"

Ministry of Economic Development and Trade in accordance with the CMU Decree #142 “On selection process of independent members of Supervisory Boards” as of March 10, 2017 and MEDT Order # 1441 “On establishment of Supervisory Board of SE "Ukrkhimtransamiak" as of October 3, 2017 announces the competitive selection of 4 independent members of the Supervisory Board of SE "Ukrkhimtransamiak"

Name of the Entity:  State Enterprise "Ukrkhimtransamiak" (hereinafter referred to as the Enterprise)

Main activity of the Enterprise:

Carrying out services on transit of ammonia through the territory of Ukraine by pipeline transport, wholesale trade or intermediation in trade of chemical products, fuel, etc. Creation of a single integral industrial complex of the main pipeline to ensure the efficient functioning of the ammonia transport system.

Core qualifications of the Member of the Supervisory Board of the Enterprise

  • Finance;
  • Risk Management;
  • Strategic Management;
  • Project Management.

Requirements for the candidates:

  • Higher education in the relevant field – Management and Administration, Production and Technology, Public Administration and Administration, International Relations, Law;
  • At least 10 years in managerial positions in companies or in state service, or in local government bodies;
  • Experience in solving conflicts and conducting negotiations;
  • Impeccable business reputation;
  • Meet the requirements of independence, determined by the laws and regulations.

A candidate must possess one or more of the following professional and personal qualities, including:

  • deep knowledge of business economics, strategic planning, operation administration,  budgeting, financing and project management;
  • experience in the development and implementation of complex organizational change projects (transformation of management model, business restructuring, access to new markets, etc.), technological modernization through the introduction of energy saving and other new technologies;
  • knowledge of the nitrogen fertilizers market;
  • knowledge of the principles and legislation in the field of corporate governance;

Next categories will be an advantage:

  • work experience in pipeline transport and/or logistics companies;
  • work experience in international companies focused on both corporate and private clients;
  • work experience in supervisory boards;
  • presence of confirmed continuous professional and personal development training programs (international diplomas and certificates).
  • MBA degree;
  • knowledge of foreign languages.

Expected functions of independent members of the Supervisory Board of the Enterprise

  • formulation of proposals for the optimization of management structure of the Enterprise taking into account the best international practices of corporate governance and approval of the action plan to implement it;
  • analysis and control over the implementation of the Enterprise’s development strategy and control over the implementation of the necessary changes;
  • implementation of key index of the Enterprise’s effectiveness that will ensure achievement of strategic goals and monitoring over their achievement;
  • consideration and formulation of proposals on the tariff policy of the Enterprise;
  • formation of sustainable development policy and monitoring over its compliance;
  • determination of forms concerning the control over the financial and economic activities of the Enterprise, in particular risk management systems, financial and operational control;
  • control over the Enterprise’s management effectiveness and implementation of the relevant measures as necessary;
  • implementation of an independent audit.

Professional competences of the Member of the Supervisory Board of the Enterprise


  • ability to assess the results of the Enterprise’s financial standing analysis and provide recommendations for the effective management of financial resources of the Enterprise;
  • skills of investment analysis and assessment of the Enterprise’s investment policy;
  • experience in the formation and management of the financial and credit portfolio of the Enterprise.

Risk Management

  • ability to predict and analyze external and internal risks of the Enterprise and assess the potential impact on the financial result of the Enterprise;
  • experience in developing response plan on possible financial, technological, market risks to minimize the Enterprise’s losses;
  • experience in implementing risk management in the Enterprise.

Strategic Management:

  • strategic analysis, business planning, business analysis skills;
  • strategic vision of the  Enterprise development in the conditions of limited resources;
  • experience in development and implementation of strategic plans of an enterprise;
  • understanding and ability to critically assess existing business (market environment, business model, business risks, customer needs, industry specifics, etc.).

Project Management:

  • understanding of methods for assessing the effectiveness of investment projects and the ability to rank portfolios of the Enterprise projects;
  • presence of successfully implemented projects and / or programs in organizations;
  • implementation of project management system in enterprises;
  • ability to initiate and guide projects of changes in an organization

  • Application on eligibility of criteria of independence of the Supervisory Board Member;
  • Motivation letter on performing of the functions of the Member of the Supervisory Board (composed in any form in Ukrainian and/or English languages no more than 2 pages and should contain reasoning of interest in this vacancy).
  • Information concerning membership in any other Supervisory boards (if any).

Financial and Economic statements of the Enterprise are enclosed: Balance sheet, P&L, Cash flow, Equity.

Candidate will be responsible for the accuracy of documents.
